- Brookfield Properties Corporation (“Brookfield Office Properties”) (BPO: NYSE, TSX) announced today that as a result of strong investor demand for its previously announced secondary offering of trust units of Brookfield Office Properties Canada (“BOX”) (BOX.UN: TSX), it has entered into an agreement to increase the size of the secondary offering from C$100,100,000 to C$150,040,000, with no underwriters' option (the “Offering”). The Offering will be underwritten by a syndicate of investment dealers co-led by RBC Capital Markets and TD Securities Inc.
Under the agreement, the syndicate has agreed to purchase 6,820,000 trust units of BOX (the "Units") at a purchase price of C$22.00 per Unit, for gross proceeds of C$150,040,000, with no underwriters' option.
Brookfield Office Properties and its affiliates currently own an economic interest of approximately 90.6% in BOX. Upon completion of the Offering, Brookfield Office Properties and its affiliates will own an economic interest of approximately 83.3% interest in BOX.
BOX intends to file a prospectus supplement to its existing base shelf prospectus in all provinces and territories of Canada in connection with the Offering. The Offering is expected to close on or about November 30, 2010. Closing is subject to a number of customary conditions.
BOX will not receive any proceeds from the Offering.
